Terms of Service

1. Acceptance of Terms

By accessing and using Monze's electronic signature platform and related services (the "Services"), you accept and agree to be bound by the terms and provisions of this Terms of Service agreement ("Agreement"). If you do not agree to abide by these terms, please do not use our Services.

This Agreement constitutes a legally binding contract between you ("User," "you," or "your") and Monze Digital Solutions ("Monze," "we," "us," or "our"). Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into this Agreement.

2. Service Description

Monze provides a comprehensive electronic signature platform that enables users to:

  • Upload, create, and manage documents electronically
  • Send documents for electronic signature to multiple parties
  • Sign documents using legally compliant electronic signatures
  • Track document status and manage signature workflows
  • Store and organize signed documents securely
  • Integrate with third-party applications and services

Our platform ensures legal compliance with electronic signature laws including the Electronic Signatures in Global and National Commerce Act (ESIGN), Uniform Electronic Transactions Act (UETA), and international equivalents such as eIDAS in the European Union.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and promptly updating any changes.

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • You are liable for all activities that occur under your account
  • We recommend using strong passwords and enabling two-factor authentication

3.3 Age Requirements

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

Monze maintains a strict anti-spam policy and complies with all applicable anti-spam laws including the CAN-SPAM Act, GDPR, CASL, and other international regulations. Our commitment includes:

  • Honoring unsubscribe requests within 10 business days

  • Create backups and copies for security and reliability purposes
  • Display your content to authorized recipients as directed by you

8.3 Respect for Third-Party Rights

You represent and warrant that you have all necessary rights to upload and share content through our Services and that your use does not infringe upon the intellectual property rights of others.

9. Payment Terms and Billing

We offer various subscription plans with different features and usage limits. Current pricing and plan details are available on our website and may be updated from time to time.

9.2 Payment Processing

  • Payments are processed by secure third-party payment processors
  • You authorize us to charge your payment method for applicable fees

  • You are responsible for all taxes associated with your use of our Services

9.3 Billing and Renewals

Subscriptions automatically renew unless cancelled before the renewal date. We will send billing notifications to your registered email address. You can manage your subscription through your account settings.

11. Limitation of Liability and Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted or error-free operation
  • Security or accuracy of data transmission

11.2 Limitation of Liability

To the maximum extent permitted by law, Monze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Cost of substitute services
  • Reputational harm or goodwill loss

Our total liability for all claims shall not exceed the amount paid by you for our Services in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Monze and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Services, violation of this Agreement, or infringement of any third-party rights.

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your access to the Services will cease, but certain provisions of this Agreement will survive.

13.2 Termination by Us

We may suspend or terminate your account if you violate this Agreement, engage in prohibited activities, or for other legitimate business reasons. We will provide reasonable notice when possible.

13.3 Effect of Termination

Upon termination, you will lose access to your account and data. We may retain certain information as required by law or for legitimate business purposes. You remain liable for all charges incurred before termination.

14. Governing Law and Dispute Resolution

14.1 Governing Law

This Agreement is governed by the laws of the State of California, United States, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from this Agreement will be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

15. General Provisions

15.1 Entire Agreement

This Agreement, together with our Privacy Policy and other referenced policies, constitutes the entire agreement between you and Monze regarding the Services.

15.2 Modifications

We may modify this Agreement from time to time. Material changes will be communicated through email or service notifications. Continued use of our Services constitutes acceptance of the modified terms.

15.3 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.4 Assignment

You may not assign this Agreement without our written consent. We may assign this Agreement to any affiliate or successor entity.
